Terms of Service

For the purposes of these Terms:

• Agreement, these Terms of Service and any documents incorporated by reference.
• Client. The individual or entity that subscribes to our Services.
• Client Content, text, images, logos, trademarks, data, and other materials provided by the Client.
• Deliverables. The website, designs, code, and other work product created by Adbokit.
• Monthly Subscription Fee. The recurring monthly payment for the selected plan.
• Platform, Webflow or any other web development platform used to build and host Client websites.
• Services. The web design, development, SEO, maintenance, and other digital services we provide.

Adbokit provides Website-as-a-Service offerings including website design & development on Webflow, managed hosting, ongoing maintenance and support, SEO, conversion rate optimization (select plans), and content updates as specified in your plan.

Service limitations, unless explicitly agreed, Services do not include content creation (copywriting, photography, videography), third-party software licenses, domain registration fees, email hosting, custom application development, e-commerce transaction fees, or advertising spend.

Platform dependency, websites are built on Webflow. Certain features depend on Webflow’s capabilities and policies, Webflow’s terms also apply to hosting, and Adbokit is not responsible for Webflow platform changes or outages.

Adbokit offers the following subscription plans (subject to change):

All plans are month-to-month with no long-term contracts, and auto-renew each month unless cancelled. You may upgrade at any time (prorated, effective immediately) or downgrade at any time (effective next billing cycle). Custom projects outside standard plans are governed by a separate Statement of Work.

We accept bank transfer, PayPal, and credit/debit card (via Stripe). Subscriptions are billed monthly in advance on the same day each month, and payment is due upon invoice (sent 3–5 days before the billing date).

Late payments may result in the following:

A late fee of 2% per month may apply to overdue amounts. All fees are exclusive of applicable taxes. 14-day money-back guarantee: new Clients may request a full refund within 14 days of initial subscription in writing; after 14 days, fees are non-refundable. We may change pricing with 30 days’ written notice.

To keep your project on track, you agree to:

• Provide content, supply accurate text, images, and logos you own or have licensed, in usable formats, responding to content requests within 5 business days.
• Review & approve, review deliverables within 5 business days, give clear feedback, designate a single point of contact, and approve final work before launch.
• Provide access, give necessary access to existing accounts (domain, hosting) and keep credentials secure.
• Ensure accuracy, confirm all information provided is accurate, that you have authority to enter this Agreement, and that your content does not infringe third-party rights.

Delays caused by Client content provision may delay project timelines.

Onboarding, on subscription you receive a welcome email and onboarding materials, provide initial content and brand assets, and we schedule a kickoff.

Design & development: strategy & planning → design (presented for approval) → development on Webflow → review & feedback → revisions → launch after final approval.

Revisions, each project includes reasonable revisions within the original scope. Revisions beyond scope, or significant scope changes, may incur additional charges via a change order, we’ll notify you before any additional charges.

Timeline, standard sites complete within 2–4 weeks depending on complexity and your responsiveness. The website will not launch without your written approval.

Client Content, you retain all rights to content you provide; you grant us a license to use it to deliver Services, which ends on termination (subject to portfolio rights).

Adbokit work product, during an active subscription, you receive a non-exclusive, non-transferable license to use all Deliverables for your business, contingent on payment. Ownership transfer terms on termination are in Section 14.

Third-party elements, Deliverables may include stock images, fonts, plugins, or open-source code subject to their own licenses.

Portfolio rights, you grant us the right to display the completed site in our portfolio and marketing and to reference your company name. You may opt out in writing. You receive no rights to Adbokit’s proprietary processes, templates, brand, or work for other clients.

While subscribed, hosting is included through Webflow’s infrastructure (with SSL and CDN), along with security monitoring, regular backups, performance monitoring, and technical support and content updates per your plan.

Support hours are Monday–Friday, with timezone coverage across the US, UK, and Australia. We target 99.9% uptime (dependent on Webflow’s infrastructure). Adbokit is not liable for downtime caused by Webflow platform issues, force majeure, Client actions, or third-party failures.

You agree not to use our Services for websites containing illegal content, IP-infringing material, defamatory or fraudulent content, hate speech or harassment, adult content, malware, spam, privacy-violating content, or unlicensed gambling or controlled-goods sales.

You also agree not to use Services in violation of law, attempt unauthorized access, interfere with other users or systems, reverse engineer our systems, resell Services without authorization, or misrepresent affiliation with Adbokit.

We reserve the right to remove violating content, suspend or terminate Services, report illegal activity, and take legal action. Violations may result in immediate termination without refund.

Adbokit warrants that Services will be performed in a professional and workmanlike manner, that we have the right to enter this Agreement, and that Deliverables will substantially conform to agreed specifications.

Except as expressly stated, Services are provided “as is” and “as available” without warranty of any kind. To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

No guarantee of results. We do not guarantee specific traffic, leads, sales, search rankings, ROI, or business success. Website performance depends on many factors outside our control.

To the maximum extent permitted by law, Adbokit shall not be liable for indirect, incidental, special, or consequential damages; lost profits, revenue, or business opportunities; loss of data or goodwill; cost of substitute services; or damages arising from third-party claims or Client Content, regardless of the theory of liability or whether we were advised of the possibility.

Liability cap, Adbokit’s total liability for any claims under this Agreement shall not exceed the total fees paid by Client in the three (3) months preceding the claim. These limitations apply even if a limited remedy fails of its essential purpose.

Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Client agrees to indemnify, defend, and hold harmless Adbokit and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from: Client’s breach of this Agreement; violation of any law or regulation; Client Content (including infringement claims); Client’s use of the Services; and Client’s products, services, or business practices.

We will promptly notify you of any claim; you control the defense (with our consent to settlement) and will not settle any claim admitting liability on our part without consent.

By Client, you may cancel anytime by written notice to christian.dinglasan@adbokit.com, with 30 days’ notice before your next billing date. Cancellation takes effect at the end of the current billing cycle; Services continue until the end of the paid period.

By Adbokit. We may terminate with 30 days’ notice for business reasons, or immediately for non-payment (after the cure period), breach of these Terms, AUP violations, illegal activity, or abusive behavior toward staff.

Upon termination, access ends, the website may be taken offline (see Section 14 for transfer), outstanding fees become due, and confidentiality obligations survive. Other than the 14-day guarantee, no refunds are provided for unused portions or Services already rendered.

Upon termination in good standing (all fees paid), you may:

• Option A, Transfer to your Webflow account: we transfer the website to your own account within 14 days; you then handle Webflow hosting fees. No transfer fee.
• Option B, Export files: we provide exported files (HTML, CSS, images) within 14 days; some Webflow-specific functionality may not transfer. No export fee for standard exports.
• Option C, No action: if you don’t request transfer within 60 days, the website may be archived and eventually deleted.

You may request copies of your content within 60 days. If termination is due to Client breach, we may withhold transfer until obligations are cured. Confidentiality obligations survive 3 years; payment and indemnification obligations survive.

“Confidential Information” means non-public information disclosed by one party to the other, business strategies, financials, client/customer data, technical information, trade secrets, pricing, and anything marked confidential.

The receiving party agrees to protect it with reasonable care, use it only for this Agreement, not disclose it to third parties (except as necessary for Services), and return or destroy it on request. Obligations do not apply to information that is public, previously known, independently developed, rightfully obtained, or required to be disclosed by law (with notice). These obligations survive termination for three (3) years.

Entire agreement, these Terms (with incorporated documents) constitute the entire agreement and supersede prior agreements. Amendments. We may amend with notice; material changes require 30 days’ notice. Assignment, you may not assign without our consent; we may assign to successors or affiliates.

Survival, Sections on Payment (for outstanding amounts), IP, Warranties, Liability, Indemnification, Post-Termination, Confidentiality, Dispute Resolution, Governing Law, and General Provisions survive termination.

Severability, waiver, force majeure, invalid provisions are modified to the minimum extent necessary; failure to enforce is not a waiver; neither party is liable for delays caused by events beyond reasonable control. Adbokit is an independent contractor; this Agreement creates no partnership or employment relationship. Notices to Adbokit: christian.dinglasan@adbokit.com. This Agreement is in English, which controls if translated.

Adbokit may modify these Terms at any time. Material changes come with 30 days’ email notice; non-material changes are posted here with an updated date; emergency changes (security, legal) may be immediate with prompt notice.

Continued use after the notice period constitutes acceptance. If you do not accept changes, you may cancel before they take effect. We maintain a version history; prior versions are available on request.
